K&A advised Jamjoom Pharma on its strategic investment in Biologics Company, a Saudi Biopharmaceuticals manufacturing company incorporated by Pharmaceutical Investment Company (Lifera), a Public Investment Fund (PIF) subsidiary, through a subscription for newly issued shares as part of a strategic partnership between Jamjoom Pharma and Lifera aimed at supporting Biologics Company’s long-term growth and value creation.

The strategic partnership, through Biologics Company, is focused on the manufacture of vaccines, biologics, and biosimilars in the Kingdom of Saudi Arabia. The transaction aligns with Saudi Arabia's National Biotechnology Strategy, which aims to position the Kingdom as a regional and global biotechnology hub by 2040.

K&A advised on all legal aspects of the transaction, including transaction structuring, subscription and shareholders' arrangements, transaction documentation, and regulatory considerations. The transaction is expected to complete following the receipt of applicable regulatory approvals and the fulfilment of customary closing conditions.

The K&A team was led by Managing Partner Zeyad Khoshaim, Partner Omar Iqbal, Associate Yousef Tolah, and supported by Associate Duaa Amer.

The investment reflects K&A’s multi-sectorial capabilities, including that in the Kingdom's life sciences sector, biopharmaceuticals and healthcare capabilities.  It follows the firm's continued top-tier recognition across its core practices, including Corporate/Commercial and M&A, by IFLR1000 and Chambers Global.
