K&A is proud to have advised the Mediterranean and Gulf Cooperative Insurance and Reinsurance Company (Medgulf), as the offeror, on its landmark merger with Buruj Cooperative Insurance Company (Buruj), following the overwhelming approval of both companies’ extraordinary general meetings.
The merger marks a historic milestone in the Kingdom’s insurance industry — representing the largest public-to-public merger to date in the sector. This transformative transaction is expected to create a stronger, more resilient insurer with enhanced market presence and operational synergies, in line with Vision 2030’s objective of building a robust and competitive financial sector.
K&A acted as legal advisor to Medgulf, leading on all aspects of the transaction — including structuring and negotiating the merger agreement, and advising on insurance, competition, and securities regulatory matters.
The K&A team was led by Managing Partner Zeyad Khoshaim and Senior Associate Ghaida Meaigel, with support from Associates Duaa Amer and Mohammad AlMogheerah.
This deal further reinforces K&A’s market-leading position in public M&A transactions, having led all recent major transactions from offeror side, and led all major insurance sector mergers in Saudi Arabia. It follows the firm’s recent recognitions as Saudi Arabia Law Firm of the Year and Banking Law Firm of the Year at the ALB Middle East Law Awards 2025, and the individual accolades of Mr. Zeyad Khoshaim as Managing Partner of the Year and Ms. Ghaida Meaigel as Rising Star of the Year at the IFLR Middle East Awards 2025.
