Ghaida is a Counsel in K&A's Transactional and Advisory practice and widely recognized for leading some of the most sophisticated capital market transactions, including IPOs, rights issue, public M&A and share swaps. Ghaida is also known for structuring and executing some of the most complex first-of-a-kind transactions in the market.

Ghaida advises issuers, listed companies, shareholders, financial institutions, and investors on the full spectrum of ECM and public company transactions, including IPOs (including Reg S and other foreign offerings), secondary offerings, rights issues, debt conversions, capital decreases and complex pre- and post-listing restructurings. She is particularly recognized for her ability to navigate transactions involving heightened regulatory scrutiny, complex governance considerations, and sensitive shareholder dynamics. She also led the largest number of public M&A and share swaps in the market, advising acquirers and merging companies in takeover, and advised the Capital Market Authority (the CMA) in relation to the M&A framework in the Kingdom.

In addition to her transactional work, Ghaida is a trusted adviser on public company governance, disclosure obligations, and regulatory compliance, and regularly advises government entities, including the Capital Market Authority (CMA) on securities regulations and governance.  She also works closely with K&A’s Dispute Resolution practice on high-stakes securities disputes and regulatory investigations, bringing a uniquely integrated transactional and regulatory perspective to ECM transactions.

Ghaida holds a Bachelor of Laws (First Honors, Valedictorian) from Prince Sultan University, an LL.M. with Distinction from the University of Pennsylvania Carey Law School, the Wharton Business and Law Certificate from the Wharton School (Class Speaker), and was a member of the Women’s Leadership Program at Yale School of Management.
